First Southwest Company’s Corporate Finance Group focuses its expertise on the middle market, with clients ranging in size from $10 million to more than $1 billion in annual revenues. The firm specializes in providing companies with sophisticated advisory services for buy-side and sell-side mergers and acquisitions, fairness opinions, restructurings and recapitalizations. First Southwest also serves as an agent for private placements of debt and equity capital, as well as an underwriter of public debt and equity offerings. The top three Corporate Finance professionals possess combined experience of more than 90 years in finance.

Merger and Acquisition Advisory
First Southwest Company’s Corporate Finance Group is ideally positioned to provide both buy and sell-side merger and acquisition advisory services to middle-market companies. Our advisory services encompass the broad range of mergers, acquisitions, divestitures, joint ventures, partnerships, cross-border partnerships, hostile takeover and defense strategies, and other business combinations.

Financial Advisory
We provide financial advisory services to companies, boards of directors or special board committees, including stock option plans, asset and equity valuations, fairness opinions, corporate restructurings, recapitalizations, and privatizations. We can also serve as the advisor to creditor committees in bankruptcy proceedings.

Private Placements
First Southwest assists companies as a placement agent in raising private equity and debt capital by leveraging our relationships with venture capital firms, private equity funds, strategic corporate investors, and sophisticated high net-worth individuals. We can be of the greatest assistance to companies with the following characteristics:

• Robust cash flows or revenue growth
• Revenues in excess of $10 million
• A proven management team
• A strong brand, proprietary products and services, or dominant market share
• Returns on invested capital in excess of 15%

Public Offerings
On a selected basis, First Southwest will underwrite public offerings of debt or equity securities for companies on a co-managed basis.
